Change of registered office

One of the most often services provided by our company Valian.cz to our clients is the change of registered office. It is required both by the owners of existing limited liability companies or joint stock companies, as well as by clients who buy from us a ready made company, ie a completely new company established by us and intended for sale. The transfer of the company's registered office can be performed or to the client's address or to the address of the virtual registered office.

Clients request a change of the company's registered office especially in the following situations listed below.

Change of registered office during the transfer of a ready made company

Our company Valian.cz offers so-called ready made companies for sale. If the client buys a ready made company from us but does not intend to use our service of providing a virtual office at the original address of respective ready made company or is interested in another of our offer of virtual offices, we provide him the change of registered office including registering in the Commercial Register free of charge.

Change of registered office of an existing and functioning company

Clients who have their company established and registered in the Commercial Register but need to change its registered office, turn to us with a request to change their registered office either using a virtual registered office from us or moving to any address chosen by the client.

The most common reasons why clients request a change of registered office are:

• The company is actually moving elsewhere, including its operations and offices
• The client does not wish to have a registered office in his own property
• The company's headquarters are relocated to a larger city to reduce the likelihood of random financial and other administrative checks and inspections, often also to increase prestige and improve the company's image; it is not a relocation of business premises or offices. In such a case, only the company's registered address is relocated thanks to the possibility of using the service of providing a virtual company registered office

The process of changing the company's registered office

1) Change of registered office within one municipality

In the case of a change of registered office within one municipality, there is usually a difference between previously established companies and newly established companies. In the case of newly established companies, only the name of the municipality is stated in the founding documents as the registered office of the company (if the registered office address is, for example, Prague, the change will take place only, for example, from Prague 3 to Prague 8). The change of the registered office of the company will be made by a simple proposal to enter the change of registered office in the relevant Commercial Register, which will be supported by appropriate annexes - especially consent to the location of the registered office verified by the property owner not older than 3 months.

2) Change of the registered office of the company to another municipality and change of the registered office for companies with an older date of establishment

For companies that change their registered office from one municipality to another or for older companies that have a specific and full address of their registered office in their founding documents, it is necessary to change the founding documents of the company (founding document or partnership agreement, etc.) in the form of a notarial deed. The notarial deed will then be an annex to the proposal for registration of the change of registered office in the Commercial Register together with the consent to the location of the registered office granted by the owner (see above).
